Viyash Scientific has completed the acquisition of 100 per cent of BioForLife Italia, a Milan based company active in companion animal health products. The transaction was carried out through Alivira Animal Health, an Irish step down subsidiary of the Indian group, after the required approvals were received.

The acquisition closed on 1 October under the sale and purchase agreement signed in July. Viyash disclosed EUR 15 million payable at closing, together with approximately EUR 1.976 million of deferred consideration. The final amount remains subject to the agreement's adjustments based on BioForLife's net financial position at closing.

BioForLife develops, markets and distributes veterinary products for companion animals in Italy. The acquisition gives Viyash and Alivira a local commercial platform in a major European animal health market, including relationships with veterinary professionals and access to a portfolio focused on pets. Representatives of Alivira were appointed to BioForLife's board as part of closing.

The strategic value lies in distribution as much as ownership. An established Italian platform can help the Indian group introduce selected products more directly, while BioForLife may gain access to Alivira's wider development, manufacturing and international portfolio. These opportunities depend on regulatory approvals for individual products and the fit between the two commercial ranges.

For Italian life sciences businesses, the transaction shows continued Indian interest in specialised European healthcare assets with local market access. For Indian pharmaceutical groups, companion animal health offers a route to diversify beyond human generics and production led business models. Customer relationships, product registration knowledge and local brand credibility can be difficult to build quickly without an acquisition.

The transaction is complete, but the disclosed consideration is not necessarily the final economic cost because of closing adjustments and the deferred component. The next indicators will be integration progress, portfolio launches, retention of BioForLife's commercial network and any measurable contribution to Viyash's European animal health sales.
